Terms of service
FirstVector Signals ("the Service", "we") is an independent, founder-run service operated as a sole proprietorship in Minnesota, USA. By subscribing or starting a trial you agree to these terms.
Version 2026-10-23. These terms apply from that date. When you subscribe we record which version you accepted, when, and the IP address it came from.
- Who we are. We are independent: not affiliated with, and not endorsed by, any state workforce agency. "You" means the person or firm that subscribes or starts a trial. If you subscribe for a firm, you confirm you are authorised to bind it to these terms.
- Agreement. You accept these terms by ticking the box on the subscribe page and completing checkout with Stripe, or by starting a free trial on the trial page. Where Stripe also asks you to accept our terms at checkout, that is the same agreement, not a second one. If you do not agree, do not subscribe.
- What you get. A daily email digest, sent at 06:00 Central for U.S. seats (06:00 London for UK seats once the UK is live) on days the Service runs, a private web terminal and a JSON feed, showing WARN Act notices republished from the public sources listed at /methodology with a score computed by the rule published there; firm licenses and regional charters also get an MCP endpoint. Your plan includes the features listed on the pricing page on the day you subscribe. We may change the format, sources, scoring rule or features; if a change materially reduces what you paid for, you may cancel and we refund the unused part of the current period.
- Price and renewal. Prices are in US dollars and exclude any sales tax Stripe applies at checkout. Your subscription renews automatically at the end of each billing period (every month or every year, as chosen at checkout) at the price shown at checkout, and Stripe charges the payment method on file, until you cancel. If we change a price, the new price applies only from your next renewal and only after at least 30 days' emailed notice, so you can cancel first.
- Cancelling. Cancel at any time by emailing us from the address on your account; we cancel it in Stripe within two business days and confirm by email. Where a Stripe receipt or invoice links to Stripe's billing portal, you can also cancel there yourself. Cancellation takes effect at the end of the period you have already paid for; nothing more is charged and, apart from the 14-day refund below, no partial refund is due. Pausing the daily email from your terminal or a digest does not cancel the subscription or stop billing.
- 14-day refund. If you email us within 14 days of your first payment, we refund that payment in full to the original payment method and end the subscription. This applies once per customer and to the first payment only, not to renewals or to a second subscription. For a Regional Charter, the refund is available unless we have already begun the custom coverage work agreed with you by email.
- If a payment fails. Stripe tells us and may retry the charge. For seven days after a failed payment your terminal, feed, endpoint and daily digest keep working; after that the terminal and feed show only the public view and the digest stops until the payment clears. If Stripe records the subscription as unpaid or cancelled, your subscription is cancelled and access stops.
- Your license to use the data. We grant you a non-exclusive, non-transferable license to use the digest, terminal, JSON feed and MCP output for your firm's internal business purposes: evaluating, sourcing and monitoring companies. An analyst seat or a trial is for one named person; that person's terminal link, token and digest may not be shared or forwarded. A firm license covers employees and individual contractors working at the one firm that subscribes; we add each person on request by email. You may store what you receive in your firm's own systems and may quote individual filings internally and in work for your own clients, with the state cited as the source. You may not resell, sublicense, publish or redistribute the data or the score outside your firm; use it to build or train a competing product or dataset; remove source links; or share tokens. The underlying notices are public government records, and nothing here restricts your use of records you obtain from the state yourself.
- Acceptable use; feed and MCP endpoint. Use the Service only through the web pages, email, JSON feed and MCP endpoint we provide, and only with your own token. Do not scrape the site, probe or overload it, or try to reach another subscriber's data. The feed and MCP endpoint are for your firm's own software: keep the token secret, email us at once if it leaks and we issue a new one, and expect reasonable rate limits if we introduce them. They are provided without an uptime guarantee; we may change their format on 30 days' emailed notice, or immediately for security. We may suspend a token that is shared or abused.
- Accuracy; no advice. The data is republished from notices that employers file with state agencies. It may contain errors, omissions and later revisions made by the employer or the state, and a state may post late, withdraw or correct a notice. The score is a fixed ranking rule applied to those filings; it is not an estimate of revenue, EBITDA, distress or creditworthiness. THE SERVICE AND THE DATA ARE PROVIDED "AS IS" AND "AS AVAILABLE", WITHOUT WARRANTY OF ANY KIND, INCLUDING ACCURACY, COMPLETENESS, TIMELINESS, MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE. Nothing in the Service is investment, legal, tax, lending or other professional advice. Check the state record and do your own diligence before acting.
- Limitation of liability. TO THE FULLEST EXTENT THE LAW ALLOWS, WE ARE NOT LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, LOST DEALS, LOST DATA OR BUSINESS INTERRUPTION, ARISING FROM THE SERVICE OR THE DATA, HOWEVER CAUSED, EVEN IF WE WERE TOLD THEY WERE POSSIBLE. OUR TOTAL LIABILITY FOR ALL CLAIMS IN ANY 12-MONTH PERIOD IS LIMITED TO THE FEES YOU PAID US FOR THE SERVICE IN THAT PERIOD. These limits do not apply where the law does not allow them. You agree to compensate us for third-party claims that arise from your breach of sections 8 or 9.
- Ending the agreement. We may suspend or end your access immediately if you breach sections 8 or 9, or for non-payment as described in section 7; if we end it for breach, no refund is due. We may discontinue the Service on 30 days' emailed notice and refund the unused part of any period you have paid for. You can export your data (your 45-day filings window and your watchlist, as CSV files) from your terminal at any time, including during that notice period. When your subscription ends, the digest stops and your terminal and feed show only the public view. You may keep what you already received, for internal use only, and sections 8, 10, 11, 15 and 16 continue to apply.
- Changes to these terms. We may update these terms. For a change that materially affects you (price, license scope, liability, refunds), we email the address on your account at least 30 days before it takes effect; the current version and its date are shown at the top of this page, and the version you accepted is recorded. If you do not agree, cancel before that date and the change will not apply to you. Using the Service after that date is acceptance.
- Assignment. We may assign this agreement to a successor entity that carries on the Service, including a corporation formed to hold it or a buyer of the business, together with your subscription and our rights and duties under it, without your consent. We email you when that happens; your plan, price, renewal date and these terms do not change. You may not transfer your subscription without our written consent, except that a firm license may be moved to an affiliate of the firm on request.
- Law and disputes. Minnesota law governs these terms, without regard to its conflict-of-laws rules. If a dispute cannot be settled by email within 30 days, it must be brought in the state or federal courts located in Minnesota, and both of us accept their jurisdiction. Each of us gives up the right to a jury trial to the extent the law allows. A claim must be brought within one year of the event it arises from.
- General. These terms, the pricing page on the day you subscribed and the privacy page are the whole agreement between us for the Service; a firm-license user list or Regional Charter scope agreed by email forms part of it. Notices go by email: to us at msunkrish@firstvectorsignals.com, to you at the address on your account. If part of these terms cannot be enforced, the rest still applies. Our not enforcing a term is not a waiver. Neither of us is liable for delay caused by events outside our reasonable control, but you may cancel if the Service is unavailable for more than 14 days in a row. Votes, check-in scores, replies and other feedback you send may be used to improve the Service without obligation to you; nothing in it is published or attributed to you.
- Regional Charter. A Regional Charter is a firm license plus coverage work (additional states or sectors) that we scope with you by email before you pay. That emailed scope is part of this agreement and says what will be built and by when. Coverage we build is ours and may later be offered to other subscribers; your firm gets it first. If we cannot deliver the agreed scope by the agreed date, you may cancel and we refund the unused part of the current year.
- Free trial. A trial is 14 days of the digest, the terminal and the JSON feed for one named person. No card is taken and nothing is charged; it ends on its own, after which the terminal shows only the public view. There is one trial per email address. Sections 8 to 11 apply to trial use as they do to a subscription.
